Pro Rata Cap (Multiple)

A cap on the participation of the preferred stock holders, where after receiving their liquidation preference the preferred stock holders will share in liquidation proceeds on a pro rata basis with common stock only until the pro rata cap is reached. 

It's represented as a multiple on the investment amount, and is typically in the 2x to 3x range.
